These Terms of Service ("Terms") govern your use of Colloqio ("the App", "our App", "we", "us", or "our"), an AI companion application. By accessing or using Colloqio, you agree to be bound by these Terms and our Privacy Policy.

If you are using Colloqio on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Colloqio is a privacy-focused AI companion application that:

• Runs entirely on your device after initial AI model download
• Provides conversational AI capabilities without requiring internet connectivity
• Stores all conversations and memories locally on your device
• Offers optional premium features including AI-generated avatars

The App is designed for personal, non-commercial use as an AI companion for conversation and assistance.

3. Eligibility

You may use Colloqio if you:

• Are at least 13 years of age (or the minimum age in your jurisdiction)
• Have the legal capacity to enter into these Terms
• Are not prohibited from using the App under applicable laws

If you are under 18 (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms.

4. User Responsibilities

4.1 Acceptable Use

You agree to use Colloqio responsibly and legally. You will not:

• Use the App to generate harmful, illegal, or abusive content
• Attempt to reverse engineer, decompile, or extract the AI model
• Use the App for commercial purposes without authorization
• Attempt to circumvent any security features of the App
• Use the App in any way that violates applicable laws

4.2 Your Content

Since all conversations stay on your device, you retain full ownership and responsibility for any content you create while using the App. We do not access, monitor, or moderate your conversations.

5. AI Companion Limitations

Please understand the following about your AI companion:

• Not a Human: Colloqio is an AI and cannot replace human relationships, professional advice, or emergency services
• Not Medical/Legal Advice: The AI should not be relied upon for medical, legal, financial, or professional advice
• May Be Inaccurate: AI responses may contain errors or inaccuracies
• Not for Emergencies: Do not use Colloqio for emergency situations — contact appropriate emergency services instead

6. Intellectual Property

6.1 Our Intellectual Property

Colloqio, including its design, features, AI model, code, graphics, and content, is protected by intellectual property laws. You may not:

• Copy, modify, or distribute the App or any part of it
• Use our trademarks, logos, or branding without permission
• Extract or repurpose the AI model for other applications

6.2 Your Content

You retain all rights to the conversations and content you create within the App. Since this content never leaves your device, we make no claims to it.

7. Premium Features & Payments

7.1 Premium Services

Colloqio offers optional premium features, including AI-generated custom avatars. These features:

• Are available through in-app purchases
• Are processed through Apple's App Store payment system
• May require internet connectivity

7.2 Refunds

Refund requests for in-app purchases are handled through Apple according to their refund policies. Please contact Apple Support for refund requests.

7.3 Price Changes

We reserve the right to modify pricing for premium features. Price changes will not affect already-purchased features.

8. Privacy & Data

Your privacy is fundamental to Colloqio. Key points:

• All conversations and data are stored locally on your device
• We do not collect, access, or store your personal conversations
• The AI model runs entirely on-device after initial download
• Only the optional avatar generation feature requires cloud processing

9. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including:

• Merchantability and fitness for a particular purpose
• That the App will be uninterrupted, secure, or error-free
• That AI responses will be accurate, complete, or appropriate
• That the App will meet your specific requirements

10. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid for premium features in the past 12 months
• We are not responsible for any decisions you make based on AI conversations
• We are not liable for data loss on your device

11. Indemnification

You agree to indemnify and hold harmless Colloqio, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights

12. Changes to the App

We may:

• Update, modify, or discontinue features at any time
• Release new versions with different capabilities
• Change system requirements for the App

We will make reasonable efforts to notify users of significant changes.

13. Termination

You may stop using Colloqio at any time by deleting the App. We may terminate or suspend access to the App if you violate these Terms.

Upon termination:

• Your right to use the App ends immediately
• All data stored locally on your device may be deleted with the App
• Provisions that should survive termination will remain in effect

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which we operate, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.

15. Changes to Terms

We may update these Terms from time to time. When we do:

• We will update the "Last updated" date
• Significant changes will be notified through the App
• Continued use of the App constitutes acceptance of new Terms

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Colloqio regarding use of the App.
